These terms and conditions ("Terms") govern your access to and use of the websites, applications and subscription services provided by Heem Team ("Heem Team", "we", "us", "our"). By creating an account, subscribing to, or otherwise using any of our services (each a "Service"), you agree to these Terms.

01Who we are

The Services are provided by Heem Team, a trading name of jamiecurle ltd, a company registered in England & Wales (company number 14306285, VAT number GB465047781). Individual products may be operated under their own product names but are provided subject to these Terms unless a separate agreement expressly applies.

02Eligibility & accounts

You must be at least 18 years old and able to form a legally binding contract to use the Services. Where you use a Service on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.

You are responsible for keeping your account credentials secure and for all activity that takes place under your account. You must notify us promptly of any unauthorised use.

03Subscriptions & billing

  • Plans. Services are offered on a subscription basis. The features, limits and price of your plan are as described at the point of purchase.
  • Renewal. Unless stated otherwise, subscriptions renew automatically at the end of each billing period (for example monthly or annually) until cancelled.
  • Payment. You authorise us and our payment processor to charge your chosen payment method for the applicable fees, including on each renewal.
  • Price changes. We may change subscription prices. We will give you reasonable advance notice, and changes take effect from your next billing period.
  • Taxes. Fees are exclusive of VAT and other applicable taxes unless stated, which will be added where required.

04Free trials & early access

Some Services may be offered as a free trial or in an "early access", "beta" or "development" state. Such Services are provided "as is", may change or be withdrawn, and may contain defects. We may convert a trial into a paid subscription at its end unless you cancel beforehand.

05Cancellation & refunds

You may cancel your subscription at any time through your account or by contacting us. Cancellation takes effect at the end of the current billing period, and you retain access until then.

Except where required by law, fees already paid are non-refundable and we do not provide partial refunds for unused time.

06Your right to cancel (consumers)

If you are a consumer in the UK, you may have a statutory right to cancel within 14 days of entering into the contract under the Consumer Contracts Regulations 2013. Where you ask us to begin providing a digital Service during that period, you acknowledge that you may lose this cancellation right once the Service has been fully performed.

07Acceptable use

You agree not to misuse the Services. In particular, you must not:

  • break the law or infringe the rights of others;
  • attempt to gain unauthorised access to, disrupt or reverse-engineer the Services;
  • upload malicious code or unlawful, harmful or infringing content;
  • resell or provide the Services to third parties except as expressly permitted.

We may suspend or terminate access where we reasonably believe these Terms have been breached.

08Intellectual property

We and our licensors own all intellectual property rights in the Services, including software, designs, branding and content. We grant you a limited, non-exclusive, non-transferable licence to use the Services for their intended purpose while your subscription is active.

You retain ownership of the content and data you submit ("Your Content"). You grant us the licence needed to host and process Your Content in order to provide the Services.

09Availability

We work to keep the Services available but do not guarantee uninterrupted or error-free operation. We may perform maintenance, and may modify or discontinue features from time to time.

10Warranties & liability

The Services are provided with reasonable care and skill. To the fullest extent permitted by law, we exclude all other warranties, whether express or implied.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot lawfully be excluded. Subject to that, our total liability arising out of or in connection with the Services is limited to the total fees you paid to us in the 12 months preceding the event giving rise to the claim, and we are not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data.

Nothing in these Terms affects the statutory rights of consumers.

11Data protection

We process personal data in accordance with our Privacy Policy and applicable UK data protection law. Each product may have its own privacy policy which applies to that product.

12Changes to these Terms

We may update these Terms from time to time. Where changes are material, we will give you reasonable notice. Continuing to use the Services after changes take effect means you accept the updated Terms.

13Termination

Either party may end the agreement in accordance with these Terms. On termination, your right to use the Services ends. Provisions that by their nature should survive — including intellectual property, liability and governing law — will continue to apply.

14Governing law & jurisdiction

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident elsewhere in the UK you may also bring proceedings in your local courts.
